Job Description
- Provide expert guidance and support to the Board, committees, and Executive Management on governance and legal matters.
- Facilitate Board strategy sessions, efficacy reviews, and ensure effective alignment of Board and Executive functions.
- Ensure statutory compliance and manage legal, governance, and risk frameworks.
- Oversee meeting management, minute-taking, and reporting for shareholders and Board meetings.
- Manage Board member tenure, auditor appointments, and reporting obligations to Parliament and stakeholders.
- Lead litigation matters with external counsel support.
- Develop and maintain business ethics, whistleblowing policies, and company codes of conduct.
- Provide legal advice and risk management inputs on contractual negotiations.
- Coordinate induction for new Board members and maintain statutory records and registers.
- Represent the organisation externally to stay abreast of industry developments.
- Lead and develop the Company Secretariat team to deliver high performance aligned with organisational goals.
Job Requirements
- A minimum NQF level 8 formal qualification in Commerce / Law / Corporate Governance or equivalent.
- Registration as a Chartered Secretary (CIS).
- A Master’s Degree / MBA / MBL or equivalent will be an added advantage A minimum of 7 – 12 years’ experience in Company Secretariat roles at executive level in public sector organisations.
- Extensive experience in rendering corporate governance, risk management, internal controls, legal advisory and relevant company secretarial functions to Governance Structures.
- In-depth knowledge of the Companies Act, King IV Report on Corporate Governance, PFMA, CSOS Act, Treasury Regulations and other relevant legislation.
- Exceptional communication skills; able to build and maintain trust with Board, CEO, and Executive Management.
