Key responsibilities:

Contracts:

  • Draft and negotiate a variety of commercial agreements, including services agreements (MSAs and SOWs) both local, regional & multi-market agreements and other commercial and operational agreements.
  • Review and analyze comments from opposing counsel and propose solutions. Provide risk assessments.
  • Oversee contract administration and compliance.
  • Manage central contract repository ensuring that signed contracts are collected and properly stored.
  • Review legal contracts for execution by management.
  • Interpret and apply contract terms.
  • Help implement best-practices in compliance, contract management, intellectual property, and data privacy.
  • Manage CLM tools and ensure that local practices align with global required standards.

Company Secretarial: 

  • Manage personnel changes (appointments and removals of directors, local company secretary) across Dentsu SSA entities across the region.
  • Draft necessary Resolutions (shareholder and board) as may be necessary across markets.
  • Adhere to and develop an understanding of local market company registries (CIPC; PACRA; BRELA and CAC)
  • Manage Annual Returns and other prescribed submissions as may be necessary across the region.
  • Assist business unit with ad hoc company secretarial requests for audit and BBEEE tasks
  • Draft Minutes of meetings, as requested by markets.
  • Ensure data on company registries are accurate and up to date.
  • Engage with external lawyers to facilitate company secretarial lodgements.
  • Liaise with Global legal team on document preparation and execution.
  • Arrange meetings with stakeholders and attend to any preparatory documents (Board packs; agendas etc)

Litigation: 

  • Provide legal advice and support to the business, including HR, on employment matters.
  • Manage litigation matters at the CCMA and engage with external lawyers in market on labour disputes.
  • Manage collection and bad debt recovery matters, including instructing local lawyers.
  • Draft and review pleadings as may be necessary for litigious matters across the region.
  • Keep business stakeholders updated on litigation matters across the region.

Risk Management: 

  • Liaise with and provide support to Regional Risk stakeholders on risk management across the region.
  • Attend necessary Risk meetings.
  • Prepare relevant report and, where applicable, engage with Risk Management tools for reporting.  

AD Hoc Legal Support: 

  • Provide legal support, including advice, where requested by business stakeholders.
  • Assist with team tasks when required.

Qualifications: 

  • Admitted attorney with 2 to 3 years of post-admission experience in commercial transactions, with particular preference for those with experience in marketing, advertising, data, intellectual property, or privacy.
