RESPONSIBILITIES
Key Performance Areas:
The Senior Manager: Group Legal (Finance) will include (but not be limited to) the following:
- Implement, embed and execute the legal team’s risk management and compliance strategy.
- Identify, manage and advise of potential impact of legal and regulatory risks.
- Implement, embed and execute the legal team’s risk management and compliance strategy.
- Identify, manage and provide advisory services of potential impact of legal and regulatory risks.
- Liaise with and advise internal stakeholders, review and comment on RFPs.
- Draft/ vet, negotiate and settle final versions of legal agreements and other documents (including engagement letters and proof of concept documents),
- Project management and co-ordination, to ensure the successful closing of transactions and completion of post-closing tasks
- Prepare tactical reports as required, including reports to the Group Risk Committee, the Group Audit Committee and the Group Executive Committee.
- Manage external counsel, to ensure that the advice and guidance received is of the level required and appropriate, adequately addresses MTN’s risk and is provided on a cost- effective basis.
- Manage, and take ownership of, own matters without oversight, subject to escalations of key risks to the General Manager: M&A, the Group Chief Legal Counsel, the Executive: Group Treasury, the Executive: Group Mergers and Acquisitions and/ or other stakeholders.
- Prepare a template reporting template in relation to financing transactions for completion by the Opco’s on a monthly basis, review the feedback received and report on key risks identified.
- Address and resolve Opco queries.
- Manage and participate in special projects undertaken by different business departments.
- Assist with business continuity and crisis management.
Role Dependencies
- Active support from the Group treasury team and the Group M&A team and other stakeholders, including the business and the Opcos
- Understanding of the MTN business strategy and operational environments
- Deep understanding of the relevant legal and compliance environments
- Timely decision making and reporting
- Alignment of internal stakeholders including the Group treasury team, the Group M&A team, the business and the Opcos
- Collaboration
Responsibility towards:
- Key customers: Group Legal & Regulatory, Group and OpCo Treasury teams, Group M&A, Group and OpCo business teams and management
- Key suppliers: Counterparties to transactions including financial institutions
QUALIFICATIONS
Job Requirements
Education:
- Minimum 4 year LLB degree
- LLM or other Masters degree advantageous
- Membership of relevant law society (and in good standing)
- Fluent written and spoken English required
- Working knowledge of French advantageous
Experience:
- Minimum of 8 years of experience at a reputable law firm (in both banking and finance and in mergers and acquisitions)
- 3+ years of experience working in a medium to large corporate organisation advantageous
- Experience working across diverse cultures and geographies advantageous
Competencies:
- Strong knowledge of financial services and exchange control laws, regulations and policy required
- Strong knowledge of corporate laws, regulations and policies required
- Good working knowledge of stock exchange and anti-trust laws, regulations and policies required
